Chief Manager Job Description

The Chief Manager is responsible for overseeing the entire secretarial function, ensuring compliance with regulatory requirements and statutory laws.

  • Regulatory & Statutory Compliance:

Our team ensures compliance with relevant acts and regulations, including but not limited to Companies Act 2013, SEBI (LODR) Regulations, and Secretarial Standards (SS-1 & SS-2).

  • Filing of returns, reports, and disclosures with MCA, SEBI, RBI, and stock exchanges is a key responsibility.

We also handle filings such as shareholding patterns, corporate announcements, press releases, etc. on stock exchanges (BSE/NSE).

  • Insider Trading policies, disclosures, and reporting requirements are managed by our team.

Board and Committee Meetings require organization, coordination, and management. Our team drafts agendas, minutes, resolutions, and maintains statutory records.

  • Timely circulation of meeting notices and papers to Directors is ensured.

Corporate Governance & Risk requires maintaining and updating the compliance calendar. We liaise with external auditors, legal advisors, and regulators as required.

  • Secretarial Audit & Annual Filings involves coordinating and supporting Secretarial Audit, Internal Audit, and other statutory audits.

Stakeholder & Investor Relations Support includes investor grievance redressal, share transfers, dividends, and corporate actions.

  • A strong candidate will have 6 to 8 years of experience as a Company Secretary, preferably in a listed NBFC or financial institution.
  • In-depth knowledge of corporate laws and SEBI regulations is essential.
  • Excellent communication and drafting skills are necessary.
  • Attention to detail and ability to meet deadlines is crucial.
