Effective Senior Leader required to oversee compliance with regulatory and statutory requirements. Ensuring seamless corporate governance, the selected candidate will be responsible for filing returns, reports, and disclosures.

Key Responsibilities
  • Compliance Management: Ensure adherence to Companies Act, 2013, SEBI (LODR) Regulations, Secretarial Standards (SS-1 & SS-2), and other applicable laws and regulations.
  • Filing of returns, reports, and disclosures with MCA, SEBI, RBI, and stock exchanges.
  • Ensure compliance with SEBI Listing Regulations and handle filings such as shareholding patterns, corporate announcements, press releases, etc. on stock exchanges (BSE/NSE).
  • Insider Trading Management: Manage Insider Trading policies, disclosures, and reporting requirements.
  • Secretarial Support: Organize, coordinate, and manage Board, Committee, and General Meetings.
  • Draft agendas, minutes, resolutions, and maintain statutory records.
  • Ensure timely circulation of meeting notices and papers to Directors.
  • Maintain and update the compliance calendar.
  • Liaise with external auditors, legal advisors, and regulators as required.
  • Coordinate and support Secretarial Audit, Internal Audit, and other statutory audits.
  • Annual Return Filings: Oversee annual return filings, XBRL filings, and other ROC requirements.
  • Investor Grievance Redressal: Support investor grievance redressal.
  • Coordinate with RTA and legal teams for share transfers, dividends, and corporate actions.
Requirements
  • 6 to 8 years (Post qualification experience as a Company Secretary, preferably in a listed NBFC or financial institution)
  • In-depth knowledge of corporate laws, SEBI regulations
  • Excellent communication and drafting skills
  • Attention to detail and ability to meet deadlines
