Role Overview

We are seeking a highly skilled Commercial Contract Specialist to join our team. As a key member of our department, you will be responsible for managing day-to-day contract drafting and negotiation, working closely with business teams to evaluate and advise on transactions. Your expertise in marketing, advertising, technology, and related areas will be invaluable in this role.

Responsibilities

  • Drafting, reviewing, and negotiating a variety of commercial contracts, including Services Agreements, Confidentiality Agreements, Leave and Licence Agreements, Inter Company Agreements, SaaS Agreements, Digital Marketing Agreements, and Media Agreements.
  • Reviewing and interpreting contract language, applicable laws, and regulations, and communicating effectively with business teams.
  • Working together with business teams to evaluate and advise on transactions they are entering into.
  • Managing multiple contracts in various stages of negotiation and working in a high-paced environment.
  • Liaising with various company teams, including client-facing account teams, technology teams, procurement, vendor management, and compliance.
  • Providing advice on legal and regulatory risks associated with product development and services.
  • Identifying legal, commercial, operational risks associated with each commercial contract and taking appropriate steps to resolve and mitigate them.
  • Responsible for proper execution of contracts and managing a database/MIS of executed contracts.
  • Conducting due diligence activities pertaining to contracts.
  • Ensuring internal legal compliance on queries pertaining to labour law compliances.
  • Coordinating with various departments/business divisions/counsel for facts gathering in litigation matters and managing MIS for the same.
  • Preparing and reporting litigation matters to internal stakeholders.
  • Drafting internal demand notices, rejoinders, and reply/responses.

Qualifications

To succeed in this role, you will need:

  • Experience in working on license agreements, technology products, and services agreements, particularly in the fields of marketing, advertising, technology, and digital media.
  • Strong contract drafting, review, and negotiation skills.
  • Ability to analyze risks and complex issues and advise internal business partners appropriately.
  • Good knowledge of commercial contracts, drafting, and reviewing vendor and sales agreements, including real estate agreements.
  • Knowledge of data privacy laws and related issues.
  • Ability to conduct research on legal subjects.
