Job Title: In-House Counsel

Job Description

We are seeking a highly organized and detail-oriented In-House Counsel to support our legal and compliance functions. The role involves drafting and reviewing contracts, assisting with regulatory compliance, coordinating with external counsel, and ensuring that business operations comply with applicable laws and regulations.

Duties and Responsibilities
  • Contract Management:
  • Draft, review, and negotiate vendor agreements, NDAs, partnership agreements, employment contracts, and customer contracts.
  • Maintain and manage the company's contract repository.
  • Ensure all contracts align with company policies and legal standards.
  • Day-to-Day Legal Support:
  • Provide day-to-day legal support to internal teams (HR, Finance, Sales, IT, Operations).
  • Regulatory Compliance:
  • Assist in interpreting laws, regulations, and policies that impact the business.
  • Monitor compliance with statutory requirements under Companies Act, IT Act, Data Protection, Labour Laws, IPR, and sector-specific regulations.
  • Corporate Governance:
  • Support corporate governance activities including board resolutions, filings, and ROC compliance.
  • Risk Management:
  • Identify legal risks and provide solutions to mitigate exposure.
  • Research and Reporting:
  • Conduct legal research on applicable laws, regulatory updates, and case precedents.
  • Prepare legal opinions, briefs, and compliance reports.
  • Ensure timely submission of legal and regulatory documents.
  • Case Management:
  • Maintain case records, assist in preparing documentation for arbitration or litigation.
  • External Liaison:
  • Liaise with external law firms and legal advisors as needed.
