Key Role Summary:

The Affiliated Legal Advisor will be a pivotal member of the senior leadership team, collaborating closely with the Chief Legal Officer in all aspects of legal strategy and operations.

This role involves significant interaction with executive management, providing expert guidance on a wide range of legal matters, managing external counsel relationships, and leading internal teams to drive business outcomes.

Main Responsibilities:

  • Develop and implement authoritative legal strategies influencing strategic decision-making.
  • Assist with litigation planning and manage outside counsel relationships to ensure effective representation.
  • Oversee the legal aspects of company growth initiatives.
  • Provide legal support throughout business acquisition projects, including contract negotiations and due diligence.
  • Lead funding transactions from a legal perspective, guiding external counsel and stakeholders.

Specific Areas of Focus:

  • Corporate Transactions: Drive equity deals, ensuring timely closure and resolving outstanding issues with counterparties.
  • Contracts: Oversee the contracts function from the Legal team, involving drafting, negotiations, and finalization of contracts with third-party vendors, suppliers, consultants, etc.
  • Mergers and Acquisitions: Defend indemnity claims related to corporate funding/sale of assets transactions. Draft responses to indemnity notices and address other issues.
  • Litigations: Support strategic decision-making and lead litigations as advised by the Chief Legal Officer/management.
  • Business Acquisition: Collaborate with the Business Acquisition team in competitive bids, reviewing bid documents, issuing risk analyses, addressing queries, and due diligence of special purpose vehicles.
  • Policy Advocacy: Provide general legal advisory on strategy and interpretation of draft/new regulations. Review proposed standard bidding documents or amendments to existing ones.
  • Process Formulation: Develop processes/SOPs/strategy documents to streamline processes and mitigate company risk exposure.

Qualifications:

A law graduate from a reputable law school, with around 15+ years of work experience in multinational companies, preferably in power/infrastructure/energy sectors. A mix of in-house and law firm experience is highly desirable.
