As a Corporate Secretary and Senior Manager, Financial Planning & Analysis at Bristol Myers Squibb, you will play a pivotal role in ensuring compliance with Companies Act and other applicable laws. You will also contribute to the development and implementation of financial planning and strategies for the company. Your responsibilities will include providing secretarial and company law guidance to directors, maintaining statutory records, and facilitating meetings and maintaining minutes. You will also work closely with the Finance group and other teams to ensure efficient governance and compliance.

Key Responsibilities
  1. Ensure compliance with Companies Act and other applicable laws, and report to the Board.
  2. Provide necessary secretarial and company law guidance to directors, including in respect of individual and collective duties, responsibilities, and powers.
  3. Assist the Board/committees of the Board in the conduct of the affairs of the company, including adoption of necessary policies and practices.
  4. Maintain updated statutory records of the company.
  5. Represent the company before various regulators and other authorities under the Companies Act or other laws.
  6. Effectively liaise and strategize with the company's advisers, such as lawyers, consultants, and auditors.
  7. Coordinate and interface with inter-company departments/teams, including legal, finance, regulatory, business, and other teams of the company and BMS group entities.
  8. Communicate decisions of the company to various stakeholders.
  9. Assist with statutory filings under corporate, foreign exchange, tax, and other laws.
  10. Risk and cost mitigation in respect of compliances under applicable laws.
  11. Accounting and invoicing experience.
  12. Discharge such other duties as may be assigned by the Board and applicable laws.
Requirements
  1. Self-motivated, effective team player, and strong leadership skills.
  2. Strong interpersonal skills and cultural skills, effectively leveraging these skills to obtain results.
  3. Flawless drafting, communication, and language skills.
  4. In-depth knowledge of the Companies Act, corporate, and other laws.
  5. In-depth knowledge of accounting standards, financial planning, and strategy.
  6. Provide strategic solutions to the Board and management, including in respect of corporate regulation, financial planning, and efficient governance.
  7. Ability to work independently and supervise/lead teams under the overall supervision of senior management and the Board.
  8. Ability to multi-task, effectively manage and complete work assignments independently, handle stress and time constraints, and provide effective and workable solutions/results in a timely manner.
  9. The role entails timely and effective coordination with global teams.
