Job Summary

We are seeking a highly skilled and experienced Company Secretary to join our team at ProYuga Advanced Technologies Ltd. The successful candidate will be responsible for providing secretarial support to the board, ensuring compliance with relevant laws and regulations, and providing guidance on governance best practices.

Main Responsibilities

Our ideal candidate will have a strong understanding of corporate law, governance, and regulatory compliance. Key responsibilities will include:

Company Secretarial Responsibilities:
  • Organizing and managing board meetings, general meetings, and committee meetings, and ensuring timely follow-up on actions.
  • Maintaining statutory registers and secretarial records, and ensuring accurate and up-to-date filing with regulatory bodies.
  • Preparing documents such as notices, minutes of meetings, and other documents required for meetings.
  • Timely filing of forms with the Registrar of Companies, Reserve Bank of India, and other regulatory bodies.
  • Liaising with NSDL, CDSL, RTA, and other parties on a regular basis.

Governance and Compliance:
  • Ensuring the company complies with legal, regulatory, and corporate governance requirements.
  • Advising the board on governance best practices and statutory requirements.

Risk Mitigation:
  • Identifying and assessing potential governance and compliance risks.
  • Developing and implementing risk mitigation strategies and conducting compliance audits.

Policy Development:
  • Developing, implementing, and enforcing corporate policies and procedures to mitigate compliance risks.
  • Conducting regular reviews and updating compliance policies.

Audits and External Reporting:
  • Conducting regular audits to identify and address process issues and regulatory compliance.
  • Assisting in providing necessary information and documentation for external audits.
  • Ensuring a seamless audit process.

Requirements

The ideal candidate will have:
  • 12 years of relevant legal and secretarial experience, preferably in a corporate environment.
  • A thorough understanding of corporate law, governance, and regulatory compliance.
  • Strong attention to detail and ability to manage multiple tasks simultaneously.
  • Proficiency in drafting notices, minutes, compliance policies, and process notes.
  • Excellent organizational, written, and verbal communication skills.
  • Ability to work independently and as a team.
  • Analytical and problem-solving abilities.
