**Urgent Opening for the post of Company Secretary**

**Experience - 3 to 6 yrs**

**Qualification - **- LLB & Company Secretary (ACS)

Minimum 4 years of relevant experience

**Job Location - Digha, Navi mumbai**

**Roles & Responsibilities**
- Assistance with respect to various Legal, Corporate Secretarial and Compliance work including support in conducting the Board and shareholders meetings., support in preparing Annual Reports encompassing Directors reports, support in Corporate Governance Reports, Management Discussion & Analysis reports and maintaining & updating various statutory register/records preparation of Minutes books of the Company.
- Supporting day to day legal advices on various legal issues and assistance in execution of Initial Redline/Negotiate contracts, Financial Documents, MSA, SOW, Amendments and Confidentiality Agreement, purchase agreement, leave and license agreement etc.
- Assistance with respect to managing end-to-end contract lifecycle management activities, including recording fully executed agreements into contract database, managing renewals, extension, negotiation, amendments and termination of contracts etc.
- Supporting the monitoring of statutory compliances related activities including support in drafting of various policies for the Company and assistance in implementation of various policies as per the guidelines.
- Assistance with respect to Compliances of foreign Direct investments compliances as per the FEMA/RBI Act as applicable to the Company from time to time.

**Corporate Secretarial**

Ensure compliance with the Companies Act 2013, FEMA and other related Laws as applicable to the Company.

**Compliances**

Assisting monitoring of the Statutory Compliances related activities including drafting of various policies for the Company and assisting in the evaluation of Statutory Compliances status of the Companies including implementing the Statutory Compliances tool. Tracking identifying and Monitoring of Third party intermediary services and necessary compliance in that respect.

**Legal Function**

Assisting day to day Agreement and Contract Management for all the three entities in India including assistance in other legal matters. Maintaining of various document related to trust and internal committees of the Company.

**Document Management & Administrative support**

Maintain and monitor the Legal database, registers and records (hard copies & soft copies). Assist in day to day administrative work of the department

**Salary**: ₹25,000.00 - ₹60,000.00 per month
