**Job Overview**:
The Company Secretary (CS) will play a key role in ensuring the firm's compliance with corporate governance standards, legal regulations, and statutory requirements. This position requires a professional with at least one year of experience, who can support the firm’s clients in managing their corporate secretarial duties and compliance needs.
**Key Responsibilities**:
- **Corporate Governance and Compliance**:
- Ensure compliance with the Companies Act, 2013, and other relevant regulations for the firm's clients.
- Maintain and update statutory registers and records for clients.
- Prepare and file necessary documents and returns with regulatory bodies, including the Registrar of Companies (ROC).
- **Client Interaction and Support**:
- Assist clients with the preparation of board meeting agendas, notices, and minutes.
- Advise clients on corporate governance practices and compliance issues.
- Manage shareholder communications, including annual general meetings (AGMs) and extraordinary general meetings (EGMs).
- **Document Preparation and Management**:
- Draft and review resolutions, agreements, and other corporate documents.
- Maintain accurate records of company activities, decisions, and corporate filings.
- Ensure proper documentation and archival of critical compliance and governance documents.
- **Legal and Regulatory Updates**:
- Stay informed about changes in corporate laws, regulations, and industry best practices.
- Implement updates and changes in compliance procedures as required.
- **Corporate Filings and Reporting**:
- Handle routine corporate filings, including annual returns, and compliance reports for clients.
- Prepare and submit forms related to changes in company structure, share capital, and directors.
- **Support to CA Team**:
- Collaborate with the Chartered Accountants and tax professionals within the firm on client-related matters.
- Provide necessary documentation and information for financial audits and tax filings.
- **Training and Development**:
- Participate in training sessions to stay current with legal updates and best practices in corporate governance.
**Qualifications and Skills**:
- **Educational Requirements**:
- Membership with the Institute of Company Secretaries of India (ICSI).
- A degree in law, commerce, or a related field is preferred.
- **Experience**:
- Minimum of 1 year of experience as a Company Secretary, preferably within a CA firm or a similar environment.
- **Technical Skills**:
- Proficient in company law, corporate governance, and regulatory compliance.
- Experience with corporate compliance software and office productivity tools (e.g., Microsoft Office).
- **Soft Skills**:
- Strong communication and interpersonal skills for client interaction.
- Excellent organizational skills and attention to detail.
- Ability to handle multiple tasks and work under pressure.
- **Personal Attributes**:
- High level of integrity and professionalism.
- Ability to maintain confidentiality and manage sensitive information effectively.
**Preferred Attributes**:
- Familiarity with financial and accounting principles as they relate to corporate compliance.
- Previous experience working with CA firms or in a financial services environment.
