**Key Responsibilities**:
- **ESOP Handling & Compliance**:
- Manage the administration of Employee Stock Option Plans (ESOPs) including compliance with applicable laws and regulations.
- Ensure timely and accurate reporting related to ESOPs.
- **Right Issue & Related Compliances**:
- Oversee the process of right issues and ensure adherence to regulatory requirements.
- Handle all related compliance activities and documentation.
- **FEMA & RBI Compliances**:
- Ensure compliance with the Foreign Exchange Management Act (FEMA) and Reserve Bank of India (RBI) regulations.
- Handle FLA (Foreign Liabilities and Assets) and FCGPR (Foreign Contribution - Gross Proceeds Reporting) submissions.
- **Outflow & Inward Remittance Compliances**:
- Monitor and ensure compliance with regulations concerning outward and inward remittances.
- Prepare necessary documentation and reports.
- **Fund Raise**:
- Assist in raising funds through various channels including equity, debt, and other financial instruments.
- Ensure compliance with regulatory requirements related to fundraising.
- **Compliance Due Diligence**:
- Conduct thorough compliance due diligence and audits.
- Identify and mitigate compliance risks.
- **Secretarial Audit Handling**:
- Oversee and manage the secretarial audit process.
- Ensure timely and accurate completion of secretarial audits.
- **Bonus Issue Compliances**:
- Manage the bonus issue process and ensure compliance with relevant regulations.
- Prepare and file necessary documentation.
- **Investor Management**:
- Maintain relationships with investors and manage investor communications.
- Handle shareholder queries and issues effectively.
- **Agreement Drafting**:
- Draft, review, and finalize various agreements and contracts.
- Ensure agreements are legally sound and compliant with regulatory standards.
**Qualifications**:
- **Education**: Company Secretary (CS) and Bachelor’s Degree in Law (LLB) required.
- **Experience**: Proven experience in a Company Secretary role with hands-on experience in handling ESOPs, right issues, FEMA & RBI compliance, and other key responsibilities mentioned.
- **Skills**:
- In-depth knowledge of corporate laws and compliance requirements.
- Strong understanding of ESOPs, right issues, and fundraising processes.
- Proficiency in handling FEMA & RBI regulations, FLA, FCGPR, and remittance compliances.
- Excellent agreement drafting and investor management skills.
- Strong analytical, organizational, and communication skills.
