**Corporate Legal Intern Job Description**

**Position Overview**: The Corporate Legal Intern will support the legal team in providing legal advice and services to the company. This position is designed to provide hands-on experience in a corporate legal environment and is ideal for a law student seeking to gain practical exposure to corporate law. The intern will assist with various legal projects, including research, document review, drafting, and corporate governance.

**Key Responsibilities**:

- **Legal Research**: Conduct legal research on a wide range of corporate, regulatory, and compliance matters, and prepare memoranda summarizing findings.
- **Contract Review and Drafting**: Assist with the review, drafting, and management of contracts, including NDAs, vendor agreements, and service contracts.
- **Corporate Governance**: Support corporate governance initiatives, including the preparation of board resolutions, meeting minutes, and corporate filings.
- **Regulatory Compliance**: Assist with monitoring and ensuring compliance with federal, state, and local regulations applicable to the company.
- **Litigation Support**: Help gather documents and information for litigation, including discovery, document review, and preparation of case summaries.
- **Transactional Support**: Provide assistance with mergers, acquisitions, and other corporate transactions, including due diligence and document organization.
- **Administrative Tasks**: Perform administrative duties as needed, such as maintaining legal files, organizing documents, and updating internal databases.
- **Collaboration**: Work closely with other departments, including finance, HR, and operations, to support cross-functional legal needs.

**Qualifications**:

- **Education**: Currently enrolled in an accredited law school, ideally having completed at least one year of coursework.
- **Legal Knowledge**: Basic understanding of corporate law, contracts, and legal research techniques.
- **Research Skills**: Strong legal research and analytical skills, with proficiency in using legal research tools such as Westlaw, LexisNexis, or similar.
- **Communication Skills**: Excellent written and verbal communication skills, with the ability to convey complex legal concepts clearly.
- **Attention to Detail**: Strong attention to detail and ability to manage multiple tasks and deadlines.
- **Team Player**: Ability to work effectively in a team environment and collaborate with colleagues across departments.
- **Confidentiality**: Demonstrated ability to handle sensitive and confidential information with discretion.

**Preferred Skills**:

- Experience with corporate governance, contract review, or regulatory compliance.
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint).
- Prior internship or work experience in a legal environment is a plus.
