Level : Asst Manager/Sr. Executive
Qualification and experience : Qualified CS with 3 to 5 years’ experience
What you’ll do:
IPO and secretarial matters
- IPO related actions – documentation, repository check and tracking, preparatory work. Secretarial due diligence and remedial actions.
- Support in preparation of agenda, notice, minutes, resolutions for all meetings of Board, Committees and Shareholders for IPO.
- Compliance management Tool - acting as process driver for EY compliance management tool – making changes and updating the compliance and admin actions.
- Maintaining statutory registers and records and manually and digitally updating them.
Exchange disclosures:
- Support in quarterly and event-based intimation of reports and disclosures to stock exchanges as per LODR covering financial statements, capital reconciliation, shareholding pattern, statement of investors complaints and redressal status, corporate governance report, intimation of maintenance of connectivity with depositories, corporate actions, notices, and other major events,
Investor Grievances and services:
- Regularly monitoring shareholders grievances, SEBI Scores platform, NSE and BSE complaints redressal.
- Drafting replies of shareholders complaints and requests, dealing with shareholders and registrar & transfer agent.
- Regularly dealing with NSDL, CDSL, and RTA, consultants, secretarial and statutory auditors.
Event based matters:
- Support in convening AGM, EGM, postal ballot actions, e-voting events, annual report regulatory matters and logistics support. Support in conducing newly applicable secretarial audit annually.
Support in handling Dividend payouts, buy back, bonus, split/consolidation related corporate action (whenever these events happen)
Insider Trading and Takeover Regulations:
- Regulatory tracking employee trades in UC scrip, maintenance of structural digital database (SDD) on ongoing basis.
- Reporting of trades undertaking by Directors, KMPs and designated employees and their relatives stock exchanges and compliances officers.
- Other matters as assigned from time to time.
