Corporate Compliance Officer Job Summary
We are seeking a highly skilled Company Secretary & Compliance Officer to play a crucial role in ensuring our company's compliance with all statutory and regulatory requirements.
The ideal candidate will be responsible for maintaining effective corporate governance practices, advising the board of directors on corporate governance matters, and ensuring that the company operates within legal and ethical standards.
- Key Responsibilities:
- Compliance Management:
- Stay up-to-date with all relevant laws, regulations, and guidelines affecting our operations.
- Develop, implement, and monitor compliance frameworks and procedures.
- Conduct regular compliance audits and assessments to identify and address potential issues.
- Corporate Governance:
- Provide guidance to the board of directors on best practices for corporate governance.
- Organize and prepare materials for board and committee meetings.
- Assist in the development and implementation of corporate policies and procedures.
- Company Secretarial Functions:
- E nsure all statutory and regulatory filings are completed accurately and on time.
- Maintain and update corporate records, including board minutes, resolutions, and other legal documents.
- Facilitate communication between the board, management, and shareholders.
- Risk Management:
- Identify and assess potential legal and compliance risks.
- Develop and implement risk mitigation strategies.
- Collaborate with other departments to ensure a comprehensive understanding of potential risks.
- Training and Awareness:
- Deliver training sessions for employees on compliance-related matters.
- Keep the team informed about changes in laws and regulations that may impact our business.
- Requirements:
- Certified Company Secretary
- Minimum 7+ years of post-qualification business partnering experience
- Strong understanding of regulatory compliance, corporate actions for M& A, investor servicing, AR and GM /Postal Ballots handling, policy reviews and Insider Trading Regulation Compliance & Material Event Awareness
- Strong influencing skills & ability to work with Senior Leaders across functions
