Compliance Director Role Overview

We are seeking an accomplished Compliance Director to drive our organization's compliance initiatives. The ideal candidate will be a seasoned expert in corporate governance, risk management, and regulatory affairs.

Key Responsibilities:
  • CORPORATE GOVERNANCE AND BOARD SUPPORT: Advise the board of directors on matters related to corporate governance, ensuring efficient operations and adherence to ethical standards.
  • REGULATORY COMPLIANCE: Ensure timely and accurate submission of statutory documents and returns with relevant authorities, including the Companies Act, SEBI regulations, and financial laws applicable to listed companies.
  • RISK MANAGEMENT: Identify, assess, and mitigate potential compliance risks across the organization, developing robust internal policies and procedures.
  • STATUTORY FILINGS: Oversee the preparation and timely filing of regulatory documents and returns with authorities such as the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and SEBI for listed entities and subsidiaries.
  • RESPONSE TO REGULATORS: Ensure prompt resolution to queries/notifications/summons issued by stock exchanges/SEBI/regulatory authorities.
Requirements:
  • A mandatory qualified Company Secretary (CS) qualification is required. A Chartered Accountant (CA) qualification is highly advantageous.
  • Minimum 10 years of experience in senior compliance, corporate secretarial, or governance roles, preferably in a listed company handling M&A compliance.
  • In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Strong understanding of regulatory filings and procedures with authorities like MCA, ROC, SEBI, and RBI.
