Key Responsibilities:

  • Advise the board of directors on corporate governance and risk management to ensure efficient and ethical operations. Facilitate board and committee meetings, preparing agendas, and ensuring accurate minute-taking and timely follow-up on action items in accordance with regulatory guidelines.
  • Ensure strict adherence to relevant statutory and regulatory requirements, including companies acts and financial laws applicable to listed entities.
  • Manage the compliance functions of newly acquired companies, ensuring a seamless transition.
  • Identify, assess, and mitigate potential compliance risks across the organization, developing robust internal policies and procedures.
  • Oversee the preparation and timely filing of regulatory documents and returns with authorities such as the Registrar of Companies (ROC) and Ministry of Corporate Affairs (MCA).
  • Promptly resolve queries / notices / summons issued by stock exchanges / regulatory authorities and engage in discussions to resolve their queries.
  • Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Required Qualifications & Skills:

  • Professional qualifications include a mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is advantageous.
  • Experience: Minimum 10 years of experience in senior compliance, corporate secretarial, or governance roles. Must have experience working in listed companies and handling M&A compliance.
  • Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, and RBI.
