Job Title: Chief Compliance Officer

Mandatory qualified Company Secretary (CS) qualification is required. A Chartered Accountant (CA) certification is a strong advantage.

We are seeking an experienced and highly skilled professional to oversee all compliance functions with a focus on corporate governance, risk management, and statutory filings. This role requires exceptional leadership, analytical, and communication skills to effectively advise the board and management.

  • Corporate Governance & Board Support: Advise the board of directors on all matters of corporate governance ensuring efficient and ethical operations. Facilitate board and committee meetings preparing agendas and ensuring accurate minute-taking and timely follow-up on action items in accordance with applicable regulations.
  • Regulatory Compliance: Ensure strict adherence to all relevant statutory and regulatory requirements including laws and regulations applicable to a listed company.
  • Acquisition & Integration: Manage and integrate the compliance functions of newly acquired companies ensuring a seamless transition.
  • Risk Management: Proactively identify assess and mitigate potential compliance risks across the organization developing and implementing robust internal policies and procedures.
  • Statutory Filings: Oversee the preparation and timely filing of all regulatory documents and returns with authorities.
  • Responding to Regulators: Ensure prompt resolution to queries notices summons issued by regulatory authorities engaging in discussions to resolve their queries.
  • Internal Audits: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Required Qualifications & Skills

  • Professional Qualifications: Mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.
  • Experience: Minimum of 10 years of experience in a senior compliance corporate secretarial or governance role. Must have experience working in a listed company and handling M&A compliance.
  • Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws financial regulations accounting standards and taxation.
  • Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like the Ministry of Corporate Affairs (MCA) Registrar of Companies (ROC) Securities and Exchange Board of India (SEBI) and Reserve Bank of India (RBI).
