Job Description

We are seeking a highly skilled and experienced corporate governance professional to join our team. The ideal candidate will be responsible for ensuring compliance with all statutory and regulatory requirements and maintaining effective corporate governance practices.

The corporate governance professional will play a crucial role in advising the board of directors on governance matters and ensuring that the company operates within legal and ethical standards.

Responsibilities

  • Compliance Management:
  • Stay abreast of all relevant laws, regulations, and guidelines affecting the company's operations.
  • Develop, implement, and monitor compliance frameworks and procedures.
  • Conduct regular compliance audits and assessments to identify and address potential issues.
  • Corporate Governance:
  • Provide guidance to the board of directors on governance best practices.
  • Organize and prepare materials for board and committee meetings.
  • Assist in the development and implementation of corporate policies and procedures.
  • Company Secretarial Functions:
  • Ensure all statutory and regulatory filings are completed accurately and on time.
  • Maintain and update corporate records, including board minutes, resolutions, and other legal documents.
  • Facilitate communication between the board, management, and shareholders.
  • Risk Management:
  • Identify and assess potential legal and compliance risks.
  • Develop and implement risk mitigation strategies.
  • Collaborate with other departments to ensure a comprehensive understanding of potential risks.
  • Training and Awareness:
  • Conduct training sessions for employees on compliance-related matters.
  • Keep the team informed about changes in laws and regulations that may impact the business.
Required Skills and Qualifications

Qualifications:

  • Certified Company Secretary
  • Minimum 7+ years of post-qualification business partnering experience

Skills:

  • Strong understanding of regulatory compliance, corporate actions for M&A, investor servicing, AR and GM/Postal Ballots handling, policy reviews and Insider Trading Regulation Compliance & Material Event Awareness
  • Strong influencing skills & ability to work with Senior Leaders across functions
