About the Role

DCM Operations involve asset-side investments through instruments like NCDs, MLDs, CDs, CPs, PTCs, and DAs. The DCM Operations team works closely with other divisions and external clients to facilitate smooth execution of underlying transaction documents.

This includes contract execution, drafting, reporting functions, and driving a great issuer experience. We also handle secondary trades executed in exchanges with other counterparties.

Effective communication within the organization, department managers, and officers is crucial to promote efficient and correct workflow, establish positive working relationships across the organization, and intra and inter departments.

Key Responsibilities
  • Prepare IM, term sheets, and MCFs for primary issuances, coordinate with issuers for datapoints, realign them into word files, and merge all annexures.
  • Coordinate with issuers and all other stakeholders internal and external for NCD issuances.
  • Securitization: Experience in securitization products like PTCs (Pass-Through Certificates) and SDIs where securities have been issued for underlying pools of loan receivables. Well-versed in reviewing service and payout reports of PTC cashflows. Prepare and check payout reports and future cashflows of PTCs. Coordinate with originators, rating agencies, legal counsel, and trustees for timely closing of documents and execution of documents.
  • Review all security documents and other documents.
  • Secondary transactions: Prepare cashflows as per IM, coordinate for internal approvals, external counterparties, custodians for settlements.
  • Regularly monitor the CP/CS tracker compliance of all past issuances.
  • Coupon tracking and sending multiple reminders and reconciliation with accounts.
  • Valuation of securities and preparation of call/put option cashflows.
  • Responsible for day-to-day liaison with issuing entities ensuring smooth flow of operations and information, including customer journey mapping across transaction document execution.
  • Work across issuance TATs, customer experience, and overall issuance TATs.
  • Well-versed with experience in Depository participation such as ISIN creation, corporate actions, face value updates, creating and releasing of pledges, and holding securities.
  • Handling vetting and underlying transaction documents across instruments, specializing in instruments namely NCDs and MLDs.
  • Reviewing and preparing any new major customer contracts or internal business proposals through the operations framework.
Qualification and Experience
  • Graduate/Postgraduate with 3+ years of experience working in debt capital markets.
  • Experience in public issues of Non-Convertible Debentures, listed/unlisted securities.
  • Experience in Regulations of SEBI, NCS Regulations, vetting of trust deeds, investment manager agreements, and project management agreements.
  • Experience in CBRICS, BSE-NDS, and Ftrac Platform for secondary trading of Non-SLR securities.
