Key Responsibilities:
Statutory Responsibilities
- Conducting Board Meetings and General Meetings of the companies, drafting resolutions, recording minutes, notices, reports etc.
- Compliance with Company Law, RBI norms and FIPB/DIPP conditions applicable on the Company.
- Maintaining Statutory Books/Registers of the companies
- Timely Filing of Statutory Forms/Returns
- Day to day communication with the external consultant (Legal and Secretarial) appointed by the Company
- Ensuring compliance of the applicable secretarial standards to the Company
Contracts and Advisory
- Drafting/ vetting of agreements/ contracts/MOU
- Vetting of advertisement, schemes, contests etc.
- Day to day advice to user department and legal assistance/review for special projects to minimize company's liability/protect its interests
- Vetting of Customer communications
Compliance Risk
- Aligning with adidas Group Risk Assessment process and taking action to minimize company's liability/protect its interests
- Managing regulatory investigation relating to Enforcement Directorate, Directorate of Revenue Intelligence
- Management of Statutory Compliances in the Company
- Assisting Statutory Auditors and Internal Auditors for smooth audit process
- Conducting compliance trainings for users
- Assisting Compliance Officer (Tech Hub) in carrying out all applicable compliances

Requisite Education and Experience / Minimum Qualifications:
- Post qualification experience 9-10 years
- Company Secretary and qualified lawyer
