**Job description**
**Roles and Responsibilities**
- Discharging duties of Compliance Officer including in terms of the Listing Agreement and SEBI Laws, Ensuring compliance of SEBI Laws and Depositories Act including Corporate Governance as per Clause 49 of the Listing Agreement
- Ensure compliance with stock exchange listing norms, SEBI guidelines, corporate governance report
- Advising the board and management committees on all statutory and constitutional requirements to ensure that business is conducted in a proper and effective manner
- Prepare weekly, monthly MIS Including P & L account, Balance sheet and Cash flow with relevant financial analysis
- Involved in Public Issue, Listing and Securities Management depending on Company Strategy
- Prepare and maintain minutes, statutory books including registers of members, directors and secretaries; and filing of return with Registrar of Companies, CLB, Stock Exchanges and Government in respect of company and its subsidiaries
- Manage the preparation of the company\\\'s budget; long term forecast and cash flow planning
- Advising the company on arbitration, negotiation and conciliation in commercial disputes between various parties
- Company secretary with minimum 2 years of post qualification experience
- Excellent knowledge of Statutory matters, Regulatory matters, Secretarial jobs and documentation required under Company Law in a multi entity group with a widely held share holding;
- Should also have experience of SEBI compliances and issuance of Securities in an IPO/QIP /IPP /Rights issue
- Ability to accurately work under pressure in meeting deadlines
