**Key Responsibilities**:
- **Regulatory Compliance**: Ensure compliance with all applicable laws, regulations, and guidelines relevant to the media industry, with a specific focus on compliance requirements in the state of Telangana. This includes company law, SEBI regulations, and other statutory requirements.
- **Board Support**: Facilitate board meetings, prepare agendas, take minutes, and ensure timely dissemination of board materials in Telugu, English, and Hindi languages. Coordinate with board members and management to fulfill corporate governance obligations.
- **Corporate Governance**: Implement and maintain effective corporate governance practices within the organization, ensuring alignment with local legal requirements and cultural sensitivities. Advise the board and management on governance matters, including adherence to ethical standards and best practices.
- **Legal Documentation**: Draft, review, and interpret legal documents such as contracts, agreements, and resolutions in Telugu, English, and Hindi languages. Ensure all legal documents comply with regulatory requirements and reflect the organization's best interests.
- **Compliance Reporting**: Prepare and file necessary compliance reports with regulatory authorities, including state-specific filings required by the government of Telangana. Ensure accurate and timely submission of all regulatory documents.
- **Secretarial Functions**: Perform all secretarial functions required by law, including maintenance of statutory registers, conducting board and shareholder meetings, and managing corporate records in compliance with local regulations.
- **Risk Management**: Identify potential legal and regulatory risks to the organization in the context of the Telangana state regulations. Develop strategies to mitigate risks and provide guidance to management on compliance issues relevant to the local operating environment.
- **Stakeholder Communication**: Serve as a point of contact for stakeholders, including shareholders, regulators, and external legal advisors, communicating effectively in Telugu, English, and Hindi languages. Address queries and concerns promptly and professionally.
- **Policy Development**: Assist in the development and implementation of corporate policies and procedures, ensuring they are tailored to meet local legal requirements and cultural norms. Collaborate with stakeholders to promote a culture of compliance and integrity within the organization.
- **Training and Awareness**: Conduct training sessions and workshops for employees, focusing on legal and compliance issues relevant to the media industry in Telangana. Promote awareness of local laws and regulations to ensure adherence at all levels of the organization.
**Requirements**:
- Bachelor's degree in Law (LLB) from a recognised institution.
- Associate membership of the Institute of Company Secretaries of India (ICSI).
- 1-2 years of experience in a similar role, preferably within the media industry.
- Proficiency in Telugu, English, and Hindi languages, with the ability to communicate effectively in all three languages.
- Sound knowledge of company law, corporate governance principles, and regulatory requirements, particularly in the context of the state of Telangana.
- Strong analytical skills with the ability to interpret complex legal documents and regulations.
- Excellent communication and interpersonal skills, with the ability to interact effectively with stakeholders at all levels.
