Experience: Minimum of 5-6 years as Company Secretary in any listed company.
Job Summary:
We are seeking a qualified candidate with expertise in company secretarial functions and legal matters. The role involves ensuring compliance with statutory requirements, corporate governance standards, and stakeholder coordination. The Company Secretary will oversee compliance activities, while also providing legal support by drafting and reviewing contracts, and liaising with legal counsel.
Key Responsibilities:
Ensuring compliance with relevant laws, regulations, and listing requirements.
Coordinating and conducting Board meetings, Committee meetings, and AGMs/EGMs, including pre and post-meeting documentation.
Managing the Secretarial Audit process and maintaining statutory registers.
Adhering to statutory norms and corporate governance principles outlined in the AOA & MOA.
Staying updated on regulatory changes and communicating them to stakeholders.
Implementing efficient document management systems and processes.
Leading coordination, documentation, and filings for corporate actions such as dividend payouts, mergers, and acquisitions.
Requirements:
Membership with ICSI with 5-6 years of relevant experience. Legal qualification is advantageous.
Experience in a listed company is preferred.
Proficiency in IT software for administrative tasks.
Strong verbal and written communication skills.
Attention to detail and ability to work under tight deadlines.
Discretion and ability to handle confidential information.
Excellent interpersonal skills for interaction with internal and external stakeholders, including senior professionals.
