**Job Title**: Corporate Legal Officer
**Reports To**: Chief Legal Officer / General Counsel
**Job Overview**:
The Corporate Legal Officer is responsible for managing legal affairs, ensuring compliance with regulations, and supporting corporate governance within the organization. This role involves drafting, reviewing, and negotiating contracts and agreements while providing legal guidance on various issues. Strong communication skills are essential to liaise effectively with internal and external stakeholders.
Key Responsibilities:
- **Contract Drafting and Negotiation**:
- Draft, review, and negotiate a wide range of contracts, including commercial agreements, service agreements, vendor contracts, NDAs, and partnership agreements.
- Ensure contracts align with company policies, regulatory standards, and business objectives.
- Manage the contract lifecycle from initial drafting to execution and renewal.
- **Legal Compliance**:
- Ensure that the organization adheres to applicable laws, regulations, and internal policies, including corporate governance and industry-specific guidelines.
- Conduct regular compliance audits and monitor changes in relevant laws and regulations.
- Develop and implement compliance training for employees as needed.
- **Risk Management**:
- Identify potential legal risks and provide strategic advice to mitigate risks related to contracts, transactions, and business operations.
- Advise management on risk management strategies and practices to minimize legal exposure.
- Conduct due diligence for transactions, mergers, and acquisitions as required.
- **Corporate Governance**:
- Support corporate governance processes, including maintaining company records, preparing board meeting agendas, and ensuring compliance with governance standards.
- Assist with drafting and filing annual reports, board resolutions, and other necessary corporate documents.
- **Dispute Resolution**:
- Assist in managing disputes, claims, and litigation, liaising with external legal counsel when required.
- Provide recommendations and support in settlement negotiations, arbitration, or other dispute resolution processes.
- **Stakeholder Communication**:
- Communicate effectively with senior management, clients, vendors, and regulatory bodies on legal matters.
- Translate complex legal terminology into clear, accessible language for non-legal stakeholders.
- Conduct presentations and training sessions on legal topics and corporate policies.
- **Legal Research and Documentation**:
- Conduct legal research on regulatory matters, industry standards, and case law to support decision-making.
- Maintain accurate legal documentation and records to ensure easy accessibility and compliance with document retention policies.
Qualifications:
- **Education**: Bachelor’s degree in Law (LLB); JD or relevant Master’s degree preferred.
- **Licensure**: Licensed to practice law in applicable jurisdiction.
- **Experience**: 3-5 years of experience in corporate law, with a focus on contract drafting and negotiation.
- **Skills**:
- Strong knowledge of contract law and corporate governance.
- Excellent written and verbal communication skills.
- Analytical thinking and attention to detail.
- Ability to manage multiple tasks and projects effectively.
Preferred Skills:
- Familiarity with industry-specific regulations and compliance standards.
- Experience in a corporate legal department or in-house legal role.
- Knowledge of intellectual property, data privacy, or employment law.
Pay: ₹25,000.00 - ₹55,000.00 per month
