**Job Summary**:
**Key Responsibilities**:
- **Contract Drafting and Review**:
- Assist in drafting, reviewing, and revising various contracts, including NDAs, service agreements, vendor contracts, partnership agreements, and other legal documents under supervision.
- Ensure contracts align with company policies and legal requirements.
- Track the status of ongoing contract negotiations and assist with document finalization and execution.
- **Legal Research**:
- Conduct legal research on topics relevant to corporate law, contract law, and industry-specific regulations.
- Analyze legal issues that may impact contract provisions and provide concise research summaries for the legal team.
- **Corporate Governance Support**:
- Assist in maintaining corporate governance documentation, including meeting minutes, resolutions, and board-related documents.
- Support corporate filings and assist with documentation for company transactions.
- **Compliance Assistance**:
- Aid in compliance with internal policies and applicable legal standards, especially as they relate to contract obligations and corporate practices.
- Help maintain and organize the company’s compliance documentation and support audits when needed.
- **Document Management**:
- Organize and manage electronic and physical legal files, ensuring accessibility and confidentiality.
- Assist with maintaining the contract management system, ensuring that all executed agreements are accurately recorded.
- **Cross-Departmental Collaboration**:
- Work closely with other departments, such as Finance, HR, and Operations, to gather information, address inquiries, and ensure alignment on legal matters.
- Facilitate communication between the legal department and other business units regarding contract status and compliance requirements.
**Qualifications**:
- **Education**: Currently enrolled in an accredited law school (preferred: second or third-year law students).
- **Knowledge & Skills**:
- Basic understanding of corporate and contract law.
- Strong written and verbal communication skills.
- High attention to detail with excellent organizational abilities.
- Proficiency in legal research platforms (e.g., Westlaw, LexisNexis) and MS Office suite.
- Ability to manage multiple tasks effectively and prioritize deadlines.
- **Attributes**:
- Proactive and eager to learn.
- Strong analytical and problem-solving skills.
- Ability to work both independently and in a team setting.
**Preferred Experience**:
- Previous internship or work experience in corporate law, contract management, or legal research.
