Job Title: Corporate Legal Counsel

Location: Gurugram

Employment Type: Full-time, Permanent

Job Overview: We are seeking a skilled and experienced Corporate Legal Counsel to manage and oversee all legal aspects of our business. The successful candidate will provide expert legal guidance to senior management, ensuring that our company's operations comply with all relevant laws and regulations. This role involves drafting and reviewing contracts, particularly partnership agreements, advising on corporate governance, handling compliance, and mitigating legal risks related to privacy and data protection. Additionally, the candidate will support our organization’s expansion efforts across multiple jurisdictions and geographies, ensuring compliance with diverse legal frameworks.

Key Responsibilities:

Legal Advisory & Compliance:

  • Provide in-depth and timely legal advice to senior management on corporate, contractual, regulatory, and data protection matters.
  • Develop, implement, and maintain legal and compliance policies, particularly regarding privacy laws, data protection regulations (such as DPDPA, GDPR, HIPAA), and other relevant industry standards.
  • Conduct thorough legal research to support business strategies, contract negotiations, and compliance requirements.

Contract Management & Partnership Agreements:

  • Draft, review, and negotiate a variety of contracts, with a particular focus on partnership agreements, vendor agreements, service contracts, and business transactions.
  • Provide guidance on the legal implications of business initiatives, new products, and services, ensuring that all contracts align with organizational goals and legal standards.
  • Maintain accurate records of contracts, agreements, and other legal documents.

Corporate Governance & Risk Management:

  • Ensure compliance with corporate governance standards, statutory requirements, and applicable laws.
  • Identify, assess, and manage legal risks, especially those related to partnerships and data privacy, offering strategies to minimize potential exposure.
  • Support and attend board meetings, provide guidance on corporate governance, and ensure the accurate recording of minutes.

Global Operations Support:

  • Provide legal support to the organization’s entities in India and abroad, ensuring compliance with varying laws and regulations across jurisdictions.
  • Advise on legal implications related to international partnerships, contracts, and business operations, facilitating smooth expansion into new markets.

Dispute Resolution & Mediation:

  • Manage legal disputes and facilitate resolution through mediation, arbitration, or settlement negotiations.
  • Collaborate with external legal counsel when necessary, ensuring effective and cost-efficient management of legal matters.

Policy Development & Implementation:

  • Assist in the creation and review of internal policies to ensure compliance with legal and regulatory requirements related to data protection and privacy.
  • Conduct compliance audits and provide recommendations for improvements to maintain best practices, particularly in the context of data handling and security.

Stakeholder Communication:

  • Act as a liaison between the company, regulatory bodies, and external stakeholders, facilitating clear and transparent communication.
  • Prepare and file necessary regulatory documents and reports, ensuring timely and accurate submissions.

Requirements:

  • Education:
  • Bachelor’s degree in Law (LLB) is required.
  • A Master’s degree in Law (LLM) or a Company Secretary certification (ACS/FCS) is preferred.

Experience:

  • Minimum of 5 years of experience as a legal counsel or corporate lawyer, preferably within the IT, infrastructure, or technology sectors.
  • Proven expertise in corporate governance, compliance, partnership agreements, data protection laws, and risk management.
  • Experience in supporting organizations with multi-jurisdictional operations and understanding of varying legal requirements across different countries.

Skills:

  • Strong knowledge of corporate and commercial laws, compliance standards, privacy regulations, and data protection practices.
  • Excellent verbal and written communication skills, with a capacity to convey complex legal concepts to non-legal stakeholders.
  • Highly organized, with attention to detail and the ability to manage multiple projects simultaneously.
  • Familiarity with compliance management tools and legal documentation software.
  • Strategic and analytical mindset, with a problem-solving approach.

Preferred:

  • Industry experience in technology, IT services, or communication sectors.
  • Understanding of data privacy laws, cybersecurity regulations, DPDPA, GDPR, HIPAA, or other industry-specific compliance frameworks.
  • Experience using legal and document management systems or software.
