Job Description: Deputy Manager - Secretarial & Compliance
Position Overview: We are seeking an experienced Company Secretary with 5-7 years of
relevant experience to join our dynamic team. The ideal candidate will be responsible for
ensuring the company complies with statutory and regulatory requirements and maintaining high
standards of corporate governance.
Location: Andheri East, Mumbai.
Key Responsibilities:
• Ensure compliance with the Companies Act, 2013, and other relevant corporate laws and
regulations.
• Prepare and maintain statutory registers, records, and filings as required by law.
• Organize and coordinate Board meetings, Committee meetings, and Annual General
Meetings, including drafting agendas, notices, minutes, and resolutions.
• Liaise with regulatory authorities, such as the Ministry of Corporate Affairs (MCA),
Registrar of Companies (RoC), Securities and Exchange Board of India (SEBI), and
Stock Exchanges.
• Manage and oversee corporate governance practices, ensuring the company adheres to
best practices.
• Provide advice on corporate, legal, and regulatory matters to the Board and senior
management.
• Handle matters related to share transfers, dividend payments, and the maintenance of the
companys share capital.
• Assist in the drafting, reviewing, and execution of legal agreements, contracts, and other
documents.
• Stay updated on changes in legislation and regulations affecting the company's
operations and governance.
Qualifications and Experience:
• Qualified Company Secretary (CS) with membership in the Institute of Company
Secretaries of India (ICSI).
• 5-7 years of experience in a corporate secretarial role, preferably in a listed company or a
large organization.
• Strong knowledge of corporate laws, SEBI regulations, and governance practices.
• Excellent drafting, communication, and organizational skills.
• Proficiency in using compliance and secretarial software, Legatrix.
Desired Skills:
• Ability to work independently and handle multiple tasks.
• Strong interpersonal skills to interact with stakeholders at various levels.
• Experience with mergers and acquisitions, IPOs, joint ventures, and corporate
restructuring is a plus.
