Department Legal, Compliance and Secretarial
Key Responsibilities:
Ensuring compliance with Companies Act, Secretarial Standards, Corporate Governance, IRDAI regulations / guidelines, and advising key management, board directors, committee members and functional leads on a wide range of company law and governance.
Proper conduct of Board Meetings, Committees and AGMs and timely issuance of notices, drafting agenda, minutes, Directors Report and Annual Report.
To ensure process adherence around appointment, intimation pertaining to end of tenure and extension for Board members and procedural elements of intimating internal and external stakeholders, regulators.
Follow up on Action Points of Board / Committees Meetings.
Ensure compliance with various policies.
Maintain, prepare and file necessary documents, registers, reports and returns as required under Companies Act and various other statutory acts, rules and regulations.
To co-ordinate and handle communications with regulatory authorities like IRDAI, Ministry of Corporate Affairs (MCA) for various approvals.
Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee / Board.
To co-ordinate with Practising Company Secretary, Statutory Auditors, Internal Auditors and Secretarial Auditors and manage various audit.
Ensuring adherence to regulatory requirements set forth by IRDAI including filing of various returns with IRDAI.
Any other assignments, pertaining to Secretarial function and Compliance that are given from time to time.
Qualifications and Experience:
A qualified Company Secretary (CS)
• Minimum 5-7 years work experience in related field and preferably with exposure to insurance industry
