Key Responsibilities:
- Filing Secretarial Forms: Responsible for the timely and accurate filing of secretarial forms, including but not limited to MBP1, DIR 8, DPT 3, AOC 4, XBRL, MGT7, MGT7A, AOC1, AOC 2, ADT 1, MGT 14.
- Drafting: Preparation and maintenance of board meeting minutes, statutory registers, committee meeting minutes, director reports, AGM (Annual General Meeting) minutes, and AGM notices.
- Legal Compliance: Ensure that the company adheres to all statutory and regulatory compliance requirements and that all necessary filings are made promptly.
- Corporate Governance: Assist in the development and implementation of corporate governance policies and practices, ensuring transparency and accountability.
- Annual Filing: Oversee the annual filing of financial statements, annual returns, and other required documents with relevant authorities.
- Maintain Records: Maintain and update company records, including share registers, ownership details, statutory register, and other statutory records.
- Audit Support: Assist in coordinating and providing necessary documents and information to auditors during internal and external audits.
- Secretarial Audit: The ideal candidate should have experience in conducting secretarial audits, ensuring that the company's secretarial and compliance practices are in accordance with regulatory and legal requirements.
- Consultant Coordination: Collaborate effectively with external consultants and advisors, ensuring that their expertise is utilized to address complex legal and compliance issues.
Qualifications and Requirements:
- B.Com, Company Secretary from ICSI.
- LLB would be an additional advantage.
- A minimum of 5 years of experience as a Company Secretary in a corporate environment.
- Strong knowledge of corporate laws, compliance, and regulatory requirements.
- Excellent written and verbal communication skills.
- Strong organizational and multitasking abilities.
- Attention to detail and a high level of accuracy.
- Exceptional ethical and professional conduct.
- The ideal candidate should have a demonstrated ability to effectively handle and manage the secretarial and compliance requirements of multiple entities, demonstrating strong organizational and multitasking skills in a complex corporate environment.
