We are a consulting firm comprising business advisory, financial advisory, tax consulting & CAs, specializing in various taxation aspects and servicing clients including Japanese and Multinational Companies subsidiaries in India who wish to venture into the Indian market.


Job Description

Roles and Responsibilities:

  1. Business Set up under the Companies Act, 2013 and the Limited Liability Partnership Act, 2008
  2. Incorporation of Public and Private Companies (including wholly owned subsidiaries of foreign companies)
  3. Incorporation of Foreign Entities in the form of Liaison Office/Project Office/Branch Office of Foreign Companies in India - Conversion of a Partnership Firm/ Limited Liability Partnerships (LLP) into a Company
  4. Conversion of Private Companies into Public Companies & Vice-versa
  5. Incorporation & closure of Limited Liability Partnerships (LLPs) with domestic and foreign partners
  6. Drafting of LLP Agreement - Drafting Articles of Association & Memorandum of Association
  7. Regulatory Secretarial Practices under the Companies Act, 2013 and the Limited Liability Partnership Act, 2008
  8. Preparation of documentation and assistance in holding various Directors' and Shareholders' Meetings 
  9. Maintaining Statutory records for the Companies.
  10. Filing of annual and various other e-forms with the Ministry of Corporate Affairs.
  11. Drafting and vetting of various Shareholders agreements, share purchase agreements, etc.
  12. Drafting and vetting of LLP agreements.
  13. Amendment of Memorandum and Articles of Association
  14. Liaising with Registrar of Companies, Regional Directors, Ministry of Corporate Affairs, Reserve Bank of India and various other regulatory bodies.
  15. Arranging DSC (Digital Signature Certificate) & DIN (Director Identification Number) of Indian and foreign nationals.
  16. Change in Registrations / Owners / Directors / Partners under the Companies Act, 2013 and the Limited Liability Partnership Act, 2008
  17. Shifting Registered Office of Companies within the state or outside the state
  18. Obtaining approval of Central Government / Regional Director / Company Law Board and other Regulatory bodies
  19. Assistance in Directors' appointment and resignation from companies incorporated in India 
  20. Increasing Authorized & Paid-up Share Capital of companies by way allotting securities to Indian and Foreign nationals
  21. Transferring Shares from one person/entity to another in case of Indian and Foreign nationals
  22. Appointment & Resignation of Designated Partners NBFC/FEMA/SEBI Compliance
  23. Advisory and compliance of External Commercial borrowings
  24. Assistance and guidance on remittance of funds from India
  25. Advisory relating to current and capital account transactions- Compounding under FEMA



Requirements
  • Bachelor's degree
  • Semi qualified or qualified CS can apply
  • CS (Minimum 3 to 5 years’ experience including in Training)
  • Experience in working with MNCs (Listed or Unlisted) Motivating others
  • Coordination.
Preferred Education: A law Degree is required along; however, the main qualification must be a CS and LLB.
