JobDescription

RolesandResponsibilities:

  1. BusinessSet up under the Companies Act 2013 and the Limited LiabilityPartnership Act2008
  2. Incorporationof Public and Private Companies (including wholly ownedsubsidiaries of foreign companies)
  3. Incorporationof Foreign Entities in the form of Liaison Office/ProjectOffice/Branch Office of Foreign Companies in India Conversion of aPartnership Firm/ Limited Liability Partnerships (LLP) into aCompany
  4. Conversionof Private Companies into Public Companies & Viceversa
  5. Incorporation& closure of Limited Liability Partnerships (LLPs) withdomestic and foreignpartners
  6. Draftingof LLP Agreement Drafting Articles of Association &Memorandum ofAssociation
  7. RegulatorySecretarial Practices under the Companies Act 2013 and the LimitedLiability Partnership Act2008
  8. Preparationof documentation and assistance in holding various Directors andShareholders Meetings
  9. MaintainingStatutory records for theCompanies.
  10. Filingof annual and various other eforms with the Ministry of CorporateAffairs.
  11. Draftingand vetting of various Shareholders agreements share purchaseagreements etc.
  12. Draftingand vetting of LLPagreements.
  13. Amendmentof Memorandum and Articles ofAssociation
  14. Liaisingwith Registrar of Companies Regional Directors Ministry ofCorporate Affairs Reserve Bank of India and various otherregulatorybodies.
  15. ArrangingDSC (Digital Signature Certificate) & DIN (DirectorIdentification Number) of Indian and foreign nationals.
  16. Changein Registrations / Owners / Directors / Partners under theCompanies Act 2013 and the Limited Liability Partnership Act2008
  17. ShiftingRegistered Office of Companies within the state or outside thestate
  18. Obtainingapproval of Central Government / Regional Director / Company LawBoard and other Regulatorybodies
  19. Assistancein Directors appointment and resignation from companiesincorporated in India
  20. IncreasingAuthorized & Paidup Share Capital of companies by wayallotting securities to Indian and Foreignnationals
  21. TransferringShares from one person/entity to another in case of Indian andForeignnationals
  22. Appointment& Resignation of Designated Partners NBFC/FEMA/SEBICompliance
  23. Advisoryand compliance of External Commercialborrowings
  24. Assistanceand guidance on remittance of funds fromIndia
  25. Advisoryrelating to current and capital account transactions Compoundingunder FEMA



Requirements
  • Bachelorsdegree
  • Semiqualified or qualified CS canapply
  • CS(Minimum 3 to 5 years experience including in Training)
  • Experiencein working with MNCs (Listed or Unlisted) Motivatingothers
  • Coordination.
PreferredEducation:A law Degree is required along; however the main qualification mustbe a CS andLLB.
