Role & responsibilities

The Contract Management In-House Counsel is responsible for overseeing and managing all aspects of the organizations contracts, from drafting, reviewing, and negotiating contracts to ensuring compliance with legal, regulatory, and corporate standards. This role works closely with various departments, including procurement, sales, finance, and operations, to develop and implement contract policies and manage risks associated with contract obligations. The ideal candidate will have strong analytical, negotiation, and interpersonal skills, with a background in contract law and experience in corporate legal environments.

Key Responsibilities:

1. Contract Drafting, Review, and Negotiation

  • Draft, review, and negotiate a wide range of contracts, including vendor agreements, service agreements, licensing agreements, non-disclosure agreements, and other commercial contracts.
  • Develop standardized contract templates to streamline the contracting process while ensuring compliance with company policies and legal requirements.
  • Ensure that contract terms align with company objectives, identifying potential risks and recommending revisions where necessary.
  • Maintain up-to-date knowledge of legal standards, trends, and best practices to incorporate into contract templates and negotiations.

2. Contract Compliance and Risk Management

  • Assess and mitigate legal and financial risks related to contracts by ensuring compliance with regulatory, industry, and internal company standards.
  • Work with business units to understand contractual obligations and ensure they are met consistently, while advising on potential risks and providing mitigation strategies.
  • Conduct periodic audits and risk assessments on contract compliance and performance.
  • Assist in resolving disputes or issues arising from contract terms, collaborating with relevant stakeholders to find solutions.

3. Contract Lifecycle Management (CLM)

  • Develop and oversee the organization's Contract Lifecycle Management processes, ensuring efficient handling of contracts from initiation through execution and renewal or termination.
  • Implement and maintain contract management software or tools to organize, track, and report on contract data and metrics.
  • Coordinate with relevant departments to ensure timely renewals or amendments, preventing lapses in contract coverage.
  • Maintain a central repository of all contracts and supporting documentation, ensuring easy access and compliance with data retention policies.

4. Policy Development and Implementation

  • Establish and implement contracting policies, procedures, and best practices across the organization, providing training and guidance to relevant departments.
  • Develop standardized protocols for contract creation, negotiation, and execution, ensuring consistency and reducing legal risks.
  • Monitor and ensure adherence to internal policies and industry regulations, adapting policies as necessary to accommodate changes in law or business strategy.

5. Legal Research and Advisory

  • Conduct legal research on applicable laws, regulations, and industry practices to advise stakeholders on contract-related matters.
  • Provide guidance to senior management and business units on the legal implications of proposed contractual terms, keeping them informed of potential risks.
  • Stay updated on relevant legal changes and advise on necessary adjustments to contractual language or policies.
  • Draft internal memos, reports, and advisories on contract-related risks, regulatory changes, and compliance issues.

6. Collaboration and Stakeholder Engagement

  • Collaborate closely with internal stakeholders, including finance, procurement, sales, and operations, to align contract terms with business objectives.
  • Act as a liaison between the legal department and other departments to streamline communication and ensure efficient resolution of contract issues.
  • Represent the organization in external negotiations and discussions with vendors, clients, and partners regarding contractual terms and obligations.
  • Develop and maintain relationships with external legal counsel when specialized expertise is required.
