Key Responsibilities
:
• Manage and maintain statutory registers and records, including but not limited to minutes of board meetings, annual general meetings, and other relevant documentation.
• Prepare and file statutory returns and reports with regulatory authorities such as the Reserve Bank of India (RBI).
• Assist in the organization of board meetings, committee meetings, and annual general meetings, including drafting agendas, preparing meeting materials, and recording minutes.
• Advise the board of directors on corporate governance matters and regulatory compliance requirements.
• Keep abreast of changes in relevant laws, regulations, and corporate governance practices and ensure that the company adapts its policies and procedures accordingly.
• Liaise with external legal counsel, auditors, and regulatory authorities as required.
• Provide guidance and support to other departments on legal and regulatory matters, including contract review and compliance issues.
Qualifications and Skills:
• Bachelor's degree in Law, Commerce, Business Administration, or a related field.
• Qualified Company Secretary (ACS) with membership of the Institute of Company Secretaries of India (ICSI).
• Minimum of 3 years of experience as a Company Secretary, preferably in the financial services industry, with knowledge of NBFC regulations.
• Strong understanding of corporate governance principles and regulatory requirements applicable to NBFCs.
• Excellent communication, interpersonal, and organizational skills.
• Ability to work independently and collaboratively within a team environment.
• Proficiency in MS Office suite and experience with corporate governance software/tools is a plus.
