Key Responsibilities:

  • Oversee the entire spectrum of Legal and Secretarial functions, ensuring full compliance with the Companies Act, applicable Rules, and SEBI Regulations.
  • Plan, organize, and coordinate Board, Committee, and General Meetings (both in-person and virtual), ensuring accurate documentation and timely follow-ups.
  • Develop and implement business processes and policies to enhance operational effectiveness, mitigate risks, and ensure regulatory adherence.
  • Liaise with regulatory authorities, including Legal Metrology, ensuring all statutory obligations are met.
  • Ensure compliance with COTPA, Legal Metrology, and other applicable laws.
  • Provide proactive legal advisory and regulatory updates to business teams on an ongoing basis.
  • Identify and manage legal risks, ensuring suitable preventive or corrective actions in coordination with internal stakeholders and external authorities.
  • Support licensing initiatives, new business ventures, and process changes from concept to execution.
  • Contribute to litigation management, including civil and land-related matters, and ensure efficient contract management through drafting, vetting, and negotiation.

Required Skills & Experience:

  • LL.B. with Company Secretary (CS) qualification from a reputed institute.
  • 8-12 years of experience in a large corporate setup with a strong background in Corporate Legal & Secretarial Compliance.
  • Applicants should have experience working in Listed companies ( Mandatory)
  • Proven expertise in managing Board procedures, director interactions, and corporate actions such as bonus and rights issues.
  • Hands-on experience in civil litigation, IPR regulations, and exposure to fiscal laws (Excise/GST preferred).
  • Strong drafting and negotiation skills with experience across a variety of contracts.
  • Team management capabilities, analytical mindset, and a deep understanding of corporate laws and governance frameworks.
  • A proactive, detail-oriented professional with innovative thinking and strong organizational skills.
