Non-Litigation:

  • Preparing, negotiating and recording business contracts on behalf of the Company.
  • Researching a contracts terms, alerting parties to renewals or extensions and tracking all communications related to Contracts.
  • Updation of Templates of Contracts from time to time as per the new legal updates.
  • Overseeing the creation, execution, and analysis of contracts within an organization on Contract Lifecycle Management Tool (CLM).
  • Ensuring that contracts meet legal requirements and align with Company's standard policies.
  • Negotiating terms, monitoring compliance, and mitigating contract risks.
  • Advising Stakeholders and supervising the implementation of contracts for optimal efficiency.
  • Legal Opinion to Internal stakeholders.
  • Reviewing customer contract terms and conditions to balance risk appetite with commercial objectives.
  • Drafting and reviewing terms for standard forms like NDAs, MOUs, business agreements, and so on.
  • Deal with external stakeholder and Support Diligence activities and Help in Audit closure.
  • To undertake and manage legal activities related to merger, acquisition and demerger.
  • To oversee and manage the IPR including registrations & renewal, IPR litigation support, and MIS of the Company.

Secretarial and Compliance

  • To undertake secretarial compliances of the overseas subsidiaries related filing of Annual Returns, Change of Directors and other ad-hoc compliances
  • To engage and support the FEMA compliances of the overseas operations.
  • Co-ordinate with stakeholder and document compliance activities on Compliance Management Tool
  • Provide a detailed account of the compliance program to the management and the Board of Directors.
  • To draft or review the secretarial or non-secretarial policies of the Company from legality point of view.
