A. Secretarial & Compliance Functions
Manage all secretarial functions for RUPL (flagship company), subsidiaries, associates, joint ventures, and group companies.
Organize Board Meetings, AGMs, and other statutory meetings; prepare and circulate agenda papers; record and maintain minutes.
Ensure timely filing of statutory returns, audited financials, and other documents with ROC, RBI, SEBI, etc.
Maintain statutory registers and documentation as per the Companies Act and other applicable laws.
Ensure compliance with the Memorandum and Articles of Association.
Advise on legal governance, accounting, and tax implications of policies.
Liaise with regulators, legal advisors, auditors, and other stakeholders.
Maintain shareholder registers and monitor shareholding patterns.
Ensure legal accuracy on company stationery.
Submit monthly MIS reports to Directors and Senior Management.
B. Financial & Legal Coordination
File and manage charges related to loans; ensure timely release and deletion.
Assist Legal Department with financial and loan documentation.
Support public issues, including prospectus drafting and coordination with stakeholders.
Administer dividends, share option schemes, and shareholder benefits.
C. Governance & Risk Management
Develop and oversee secretarial systems for compliance.
Manage insurance policies for Directors and Senior Management.
Ensure timely renewal of licenses, registrations, and certifications.
Monitor ESG compliance and reporting.
D. Strategic & Operational Support
Provide input on corporate restructuring, M&A, and other initiatives.
Maintain historical records and correspondence files.
Support internal and external audits from a compliance perspective.
Stay updated with changes in corporate laws and governance codes.

Key Skills Required
- Strong knowledge of Company Law, SEBI regulations, and corporate governance
- Excellent drafting and documentation skills
- Proficiency in compliance management systems
- Strong communication and stakeholder management
- Analytical thinking and risk assessment
- Familiarity with ESG reporting and corporate restructuring
- Ability to manage multiple entities and complex structures

Educational Qualifications
- Company Secretary (CS) qualification from ICSI (Institute of Company Secretaries of India)
- Bachelor's degree in Commerce, Law, or Business Administration
- Additional qualifications like LLB, MBA (Finance/Corporate Law) are preferred

Years of Experience
- 12+ years of relevant experience in corporate secretarial and compliance roles
- Experience in handling listed companies, group structures, and regulatory filings is highly desirable
