Role & Responsibilities:

  • As an Associate Vice President for Equity Capital Market, you will be responsible for overseeing and executing various transactions, including IPOs, QIPs, Preferential Issues, Rights Issues, and Buybacks.
  • The ideal candidate should hold a Company Secretary (CS)/CA & LLB qualification with a solid background of 8-12 years in Equity Capital Market.
  • You will demonstrate proficiency in Securities Laws, SEBI ICDR regulations, and the Companies Act, ensuring that the team stays updated with relevant amendments and developments in the equity capital market.
  • Managing compliance work related to capital markets, Mergers & Acquisitions, and providing advisory mandates for the team will be part of your responsibilities.
  • Drafting, reviewing, and vetting various legal documents such as Share Subscription Agreement, Shareholder's Agreement, Term Sheets, Information Memorandum, Teasers, NDA's, and Engagement Letters will be a key aspect of your role.
  • A strong understanding of Company Financials, Restated Financial Statements (Balance Sheet, P&L), and the ability to compute financial ratios are essential.
  • Proficiency in MS-PowerPoint, MS-Word, and MS-Excel is required for effective communication and documentation.
  • You will need to comprehend the clients business and economic landscape to better cater to their needs.
  • Demonstrated leadership and team management skills are crucial for this role.
  • A strong blend of analytical thinking and operational execution is necessary to drive successful outcomes.
  • End-to-end execution expertise, along with the ability to assist the team in regulatory processes for ECM products, including handling due diligence and pre/post-process, is expected.
