About the Role
The Sr. Specialist Company Secretary will drive and control the company secretarial compliance of ADVANZ PHARMA Group Companies by providing proactive and effective company secretarial support and take overall responsibilities for company secretarial compliances of Group companies.
What You'll Do:
- Lead and support the Associate Director - Legal in Mumbai in the strategic oversight and management of the Group's company secretarial activities, including restructuring projects, while ensuring the best practice delivery of corporate governance and company secretarial principles.
- Co-ordinate the preparation of agendas and board packs and their timely circulation and dispatch in conjunction with other members of the Legal team.
- Convene, attend and take minutes at board and shareholder meetings, recording discussions and decisions, drafting minutes, liaising with client teams (all levels of staff) for comments prior to external circulation.
- Liaise with Board members and other relevant parties in respect of meeting arrangements and compliance with formalities, including tracking to completion actions arising from board and committee meetings.
- Drafting minutes and written resolutions and coordinating their signature and filing.
- Provide company secretarial support for the set-up of corporate entities in various jurisdictions as well as maintaining company records, share and registrar functions and system maintenance (including Group masterlist, Group structure chart etc).
- Change or register new directors/ officers, as needed, and handle any accompanying resignations.
- Ensure adherence to good corporate governance principles concerning all Company Secretarial matters.
- Ensure that statutory filings (or other similar jurisdictional requirements) and payment of relevant fees are completed within statutory time frames.
- Manage third party company secretarial service providers & third-party digital company secretarial platform.
- Work closely with Tax in restructuring projects, including managing external counsel and reviewing and finalizing documents (intra-group agreements and corporate documents).
- Actively support integration projects following the acquisition of other companies or assets.
- Support Finance in all corporate queries, including assisting in the production and approval of the financial reports and accounts.

Qualifications:
- Should have a Law or Company Secretarial degree from a reputable law school/university in India.
- Approved member of the Institute of Company Secretaries of India.
Knowledge, Skills & Experience:
- Must possess significant experience in Indian and Foreign Company secretarial matters.
- Should possess some experience in a pharma company.
- Should have strong analytical and interpretational skills with attention to detail.
- Should be positive, bright, hard-working and articulate.
- Should be at ease using all standard computer software and adapting to new technology.
- Should be interested in legal matters with a desire to learn and adopt to changing business needs.
- Should display professional high levels of integrity, conduct and maturity.
- Should be able to liaise well and build strong internal and external relationships.
- Should have problem solving skills and flexible to adopt 'change'.
