The Company Secretary is responsible for ensuring the company complies with all statutory and regulatory requirements under the Companies Act and other applicable laws. The role involves supporting the Board of Directors, managing corporate governance practices, maintaining statutory records, and handling secretarial and compliance functions efficiently.

Key Responsibilities:

Ensure compliance with the Companies Act, 2013, SEBI (LODR) Regulations, and other applicable laws.

Prepare, draft, and file various forms, returns, and documents with the Ministry of Corporate Affairs (MCA), ROC, SEBI, Stock Exchanges, and other regulatory authorities.

Organize and coordinate Board Meetings, Committee Meetings, and Annual General Meetings (AGM) including preparation of notices, agendas, minutes, and follow-up actions.

Maintain and update statutory registers, shareholder records, and corporate documents.

Draft Board resolutions, minutes, and ensure their timely circulation and compliance.

Liaise with regulatory authorities, legal counsel, auditors, and share transfer agents.

Manage shareholding patterns, ESOPs, share transfers, and dividend compliance (if applicable).

Assist in drafting policies, corporate governance reports, and annual reports.

Ensure compliance related to change in directors, registered office, capital structure, and amendments in Memorandum & Articles of Association.

Support management and board in decision-making by providing legal and regulatory advice.

Keep abreast with latest amendments in corporate laws and update management on compliance implications.

Skills and Competencies:

Strong understanding of Companies Act, 2013, SEBI (LODR), FEMA, and other relevant laws.

Excellent drafting, communication, and presentation skills.

Attention to detail and high level of integrity and confidentiality.

Proficiency in MCA21 e-filing, SEBI listing portal, and compliance management software.

Good coordination and stakeholder management skills.

Qualifications:

Member of the Institute of Company Secretaries of India (ICSI).

Bachelors degree in Commerce, Law, or related discipline preferred.

3–6 years of post-qualification experience in corporate secretarial functions.

Experience in a listed company or large private organization will be an added advantage.
