PROFILE OF EXECUTIVE I - SECRETARIAL

Goal Description

Particulars

Compliance with Companies Act, 2013 and SEBI (LODR) Regulations, 2015
- Assisting on compilation of APL Board Agenda
- Co - ordination with various functions for information/data required for Agenda compilation
- Preparation of first draft of Minutes of the Board
- Compilation of Agenda and Minutes for meetings of the Board
- Preparing first draft of Disclosures to the Directors; maintaining records of disclosures received from the Directors
- Updation of Registers under the Companies Act, 2013
- Filing to Stock Exchanges through the electronic portal (BSE Listing/NEAPS)
- Ensuring compliance with Secretarial Standards
- Updation and maintenance of Attendance registers- Uploading of Agenda and Minutes of Board and its Committees- Compiling MIS of Minutes of Board and its Committees- Printing of the Agenda for circulation to BoD- Co - ordination with SSC for release of sitting fees and communication to Directors on payment advice- IT help for conduct of Board meetings- Support to Directors on ipad- Conduct of meetings through VC- Secretarial Standards compliance for the meetings of Board and its Committees- Coordination with the Statutory Auditors of the Company and sending required compliances to the AuditorsAGM
- Preparing a draft of the reports of the Annual Report and compiling all the required data for the same by coordinating with other departments of the Company and T S R Darashaw Limited, Registrar and Share Transfer Agent of the Company; Reviewing the AR as a whole
- Assist in conduct of Annual General Meeting of the Company
- Electronic voting at the AGM included liasoning with the Scrutinizers, drafting of reports under Companies Act, 2013 includes newspaper advertisement, communications to Stock Exchanges/Shareholders/ R&TA/NSDL- Co - ordinating with mailing agency for mailing of Annual reports
- Co - ordinating with Printer for printing of Annual Report

Information required by other functions
- Maintain director database
- Maintain a database of all information

Record Management
- Maintaining a record of Secretarial Files at Head Office and the Secretarial records sent to Safehouse
- Inventory of all files created
- Scanning of all records on a continual basis

Research and Analysis
- Tracking Corporate law updates on a daily basis
- Summarizing key changes
- Impact analysis
- Researching relevant judgements passed by competent Courts
- Inputs for compilation of Corporate Bulletin
- Maintaining a Repository of Updates/case laws

Miscellaneous
- Analysis of Auditors Remuneration, Executive Director’s and Non - Executive Director’s Remuneration- Comparison of other Companies Annual reports

- Other functions within Corporate Finance like Accounts, Taxation, Legal, Audit and outside like commercial, plants, etc.Functional competencies:
