**Description**:
The Company Secretary is responsible for ensuring the company's compliance with legal and regulatory requirements, maintaining statutory records, and advising the Board on governance and risk management. The role involves coordination of Board meetings, preparation of legal documents, and liaison with external agencies.

**Key Responsibilities**:
**ESSENTIAL DUTIES AND RESPONSIBILITIES**

Responsible for the corporate secretarial governance of the Company as a** Key Managerial Person** under Section 203 of the Companies Act.
- **Legal Advisory**:Provide legal advice and guidance to the company on a wide range of corporate and commercial matters, including corporate governance, regulatory compliance, contract drafting and negotiation, and risk management.
- **Corporate Secretarial Functions**: Oversee all company secretarial matters, including maintaining statutory registers, drafting corporate resolutions and legal documents, and ensuring compliance with relevant laws and regulations.
- **Board Support**: Assist in organizing and managing board meetings, including preparing agendas, minutes, and resolutions. Provide legal support and guidance to the board of directors on corporate governance matters.
- **Legal Compliance**:Develop, implement and monitor compliance programs to ensure adherence to applicable laws, regulations, and internal policies, including supporting import and export compliance.
- **Corporate Transactions**: Support corporate transactions such as mergers, acquisitions, joint ventures, and restructurings by conducting legal due diligence, drafting transactional documents, and ensuring regulatory compliance.
- **Dispute Resolution**:Handle and manage various dispute resolution matters, including but not limited to commercial disputes, employment issues, consumer complaints, and any criminal matters that may arise. Work closely with external legal counsel when necessary.
- **Risk Management**: Identify legal and regulatory risks facing the company and develop strategies to mitigate them. Implement robust risk management processes and procedures to safeguard the company's interests.
- **Stakeholder Communication**: Act as a key liaison between the company and its stakeholders, including shareholders, regulators, external legal counsel, and other advisors. Ensure effective communication and collaboration on legal and governance matters.
- **Policy Development**: Develop and implement corporate governance policies and procedures to enhance transparency, accountability, and ethical conduct within the organization. Stay updated on emerging legal and regulatory developments relevant to the company's operations.

- Proven track record of providing strategic legal advice and support to senior management and board members.
- Strong drafting and negotiation skills, with the ability to draft clear and concise legal documents and agreements.
- Excellent communication and interpersonal skills, with the ability to interact effectively with internal and external stakeholders at all levels.
- Ability to work independently and collaboratively in a fast-paced environment, managing multiple priorities effectively.
- High level of professionalism, integrity, and discretion in handling confidential information

**Education and Experience**
- Membership of Institute of Company Secretaries of India (ICSI)
- Bachelor's degree in Law (LLB)
- 8 - 12 years of combined experience in legal practice and corporate secretarial roles, with a strong emphasis on corporate and commercial law.
