**Job Description**:
- Role - Company Secretary
Roles & Responsibilities:
**Role Responsibilities**:
- Support and Manage SEBI and NYSE compliances for Wipro Limited
- Compliances to SEBI Listing Regulations, SEBI PIT Regulations and SEBI SAST, ICDR Regulations and NYSE/SEC periodic compliances
- Coordinate with internal / external stakeholders and regulatory authorities to ensure timely compliances and record updation
- Review and finalisation of transaction agreements & exchange disclosures
- Give effect to corporate actions in coordination with cross functional teams - controllership, tax, treasury
- Coordinate for Secretarial Audit closure
- Assist in benchmarking of annual reports (Form 20F) and preparation of disclosures
- Support and Manage secretarial compliances for subsidiaries and branch offices in Europe and manage local filings
- Give effect to corporate actions for overseas subsidiaries in coordination with cross functional teams - controllership, tax, treasury
- Ensure all annual and event-based compliances time to time, evaluate the risk, alternatives and coordinate with cross functional teams in closing the actionables
- Restructuring of subsidiaries
- Post acquisition integration and compliances
- Ensure all annual and event-based compliances time to time, evaluate the risk, alternatives and highlight to management
- Annual report and annual filings of subsidiaries
- Preparation of notes on new circulars and amendments, benchmarking of reports
- Review ongoing regulatory amendments and prepare notes
- Preparation of representations on consultative papers
- Assist in benchmarking of statutory reports (e.g. annual report)
- Collaborate and assist in AGM related activities
Qualifications:
** Relevant Year of Experience**: Qualified company secretary with atleast 5 years of post qualification experience in a listed entity
