**Key Responsibilities**:

- Provide comprehensive legal advice and support on corporate transactions, including mergers and acquisitions, joint ventures, private equity, and venture capital investments.
- Conduct thorough due diligence and risk assessment for potential investments, including reviewing legal documents, assessing regulatory risks, and identifying compliance issues and transactions.
- Draft, review, and negotiate a wide range of legal documents, including term sheets, investment agreements, shareholder agreements, and purchase agreements.
- Manage post-investment legal matters, including restructurings, exits, and dispute resolutions.
- Ensure compliance with relevant securities laws, corporate governance standards, and regulatory requirements.
- Advise on legal issues related to investment structures, tax implications, and financial regulations.
- Collaborate with internal teams, including finance, compliance, and operations, to support business objectives and mitigate legal risks.
- Stay updated on relevant legal and regulatory developments and provide proactive advice to management and clients.
- Assist in corporate governance matters, including board meetings, shareholder communications, and policy development.
- Support internal audits and investigations as needed.

**Qualifications**:

- law degree (Juris Doctor or equivalent) from an accredited institution.
- Active membership in good standing with the state bar.
- Minimum of 3 years of experience in corporate law, with a focus on transaction advisory and investment compliance.
- Proven experience in handling complex corporate transactions and providing strategic legal advice.
- Strong understanding of corporate governance, securities laws, and regulatory compliance.
- Proven experience in conducting due diligence, drafting, and negotiating legal documents, and managing regulatory compliance.
- Ability to work independently and collaboratively in a fast-paced environment.
- Strong analytical and problem-solving abilities with attention to detail.
- High ethical standards and strong attention to detail.

**Preferred Qualifications**:

- Experience in a top-tier law firm or in-house legal department.
- Additional certifications or qualifications in corporate finance or securities law.
- Familiarity with international transactions and cross-border regulatory compliance.
