**Job Description: Company Secretary & Compliance Officer** **(Mumbai)**

Reports To: Board of Directors/CFO
- **Job Summary**:_

The Company Secretary will be responsible for ensuring that the company adheres to legal and regulatory requirements and that the Board of Directors’ decisions are implemented. The role includes managing corporate governance, handling board and committee meetings, overseeing compliance with various regulations, and maintaining statutory records. The Company Secretary will act as a key advisor to the board on matters of corporate governance, compliance, and regulatory affairs.
- **Key Responsibilities**:_

Board, Committee, and General Meetings: Draft and finalize minutes of meetings and ensure timely circulation and approval. Ensure compliance with all legal and regulatory requirements related to meetings.

**Regulatory Compliance**: Prepare and file various e-forms/returns on the Ministry of Corporate Affairs (MCA) portal as per the Companies Act, 2013. Preparing drafts for Stock Exchange filings/compliances in accordance with SEBI Listing Regulations. Monitor changes in relevant legislation and the regulatory environment and take appropriate action.

**Annual Report Preparation**: Coordinate the preparation and compilation of the Annual Report for both listed and unlisted entities. Ensure the timely and accurate disclosure of information in the Annual Report as per statutory requirements.

**Secretarial Audit**: Handle and manage the Secretarial Audit process for listed entities. Liaise with auditors to ensure timely completion and filing of the Secretarial Audit Report.

**Coordination with Regulatory Authorities**: Act as the primary liaison with Registrars and Share Transfer Agents (RTA), NSDL/CDSL, and other regulatory authorities. Handle all correspondence with regulatory bodies and ensure timely responses to queries and notices.

**Corporate Governance**: Advice the Board on good governance practices and compliance with corporate governance norms as prescribed under various laws. Ensure that the company complies with all corporate governance requirements and best practices.

**Mergers and Acquisitions (M&A)**: Provide support and advice on legal and regulatory aspects of mergers, acquisitions, and other strategic corporate transactions. Ensure compliance with the Companies Act, SEBI Regulations, and other relevant laws during M&A activities.

**Additional Responsibilities**: Assist in drafting and reviewing contracts, agreements, and other legal documents. Conduct due diligence and support in other corporate actions like fund raising, share buybacks, etc. Perform other duties as required by the Board or Senior Management.
- **Qualifications and Skills**:_
- Qualified Company Secretary with membership in the Institute of Company Secretaries of India (ICSI).
- Minimum of 4 years of experience in a similar role within a listed company.
- In-depth knowledge of the Companies Act, 2013, SEBI Listing Regulations, and other relevant laws.
- Experience in handling Board and Committee meetings, and drafting minutes.
- Strong understanding of corporate governance and compliance requirements.
- Excellent communication, drafting, and interpersonal skills.
- Proficiency in using MCA portal and other relevant online filing systems.
- Ability to work independently and manage multiple tasks with strict deadlines.
