**Key Responsibilities**:
**1. Compliance Management**:

- Ensure the company complies with all relevant statutory and regulatory requirements, including Companies Act, SEBI regulations, and other applicable laws.
- Prepare and file necessary returns, forms, and reports with the Registrar of Companies (RoC) and other regulatory authorities.

**2. Corporate Governance**:

- Assist in organizing and recording minutes of Board, Committee, and General Meetings.
- Advise the Board of Directors on governance, compliance, and legal obligations.
- Maintain statutory registers, including registers of members, directors, and charges.

**3. Documentation and Record-Keeping**:

- Draft and review legal and corporate documents, including agreements, resolutions, and policies.
- Ensure safe custody of corporate records, seals, and other statutory documents.

**4. Stakeholder Communication**:

- Act as the point of contact for regulators, shareholders, and stakeholders.
- Handle correspondence related to statutory obligations and general inquiries.

**5. Legal and Advisory Support**:

- Assist in drafting and reviewing contracts, MOUs, and other legal documents.
- Provide support on mergers, acquisitions, and other corporate restructuring activities as required.

**6. Other Responsibilities**:

- Stay updated with changes in corporate laws and regulations.
- Support audits, due diligence, and other related activities as required.

**Education and Qualifications**
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- Bachelor’s degree in Commerce, Law, or a related field is preferred.

**Experience**
- 3+ years of post-qualification experience in a similar role, preferably in a corporate or consulting environment.
- Experience in drafting minutes, handling compliance filings, and dealing with corporate governance matters is essential.

**Key Skills and Competencies**:
**Technical Skills**:

- Strong knowledge of the Companies Act, SEBI regulations, FEMA, and other relevant laws.
- Proficiency in MS Office (Word, Excel, and PowerPoint) and secretarial software tools.

**Analytical and Problem-Solving Skills**:

- Ability to analyze complex legal and regulatory issues and provide solutions.

**Communication Skills**:

- Excellent written and verbal communication skills for dealing with stakeholders and drafting documentation.

**Organizational Skills**:

- Ability to manage multiple tasks, prioritize, and meet deadlines effectively.

**Attention to Detail**:

- High level of accuracy in preparing legal and regulatory documentation.

**Interpersonal Skills**:

- Strong ability to work collaboratively with internal teams, senior management, and external stakeholders.
