Radix is currently seeking a highly skilled Company Secretary with a strong background in corporate governance and compliance, particularly within the Indian regulatory framework. Key Responsibilities: 1. Compliance Management: - Ensure timely and accurate filing of various compliance reports, including Softex, MPR, Form DPT 3, MSME, RBI FLA return, EBRC, AOC-04, MGT-07, and other regulatory requirements. - Prepare and maintain statutory registers and records as mandated by the Companies Act. 2. Board Governance: - Draft and circulate notices for AGMs, Board meetings, and committee meetings. - Prepare and maintain accurate minutes of Board and General Meetings, ensuring compliance with legal standards. - Facilitate the drafting of Board resolutions and Directors’ reports, ensuring alignment with corporate governance practices. 3. Foreign Entity Compliance: - Liaise with consultants and stakeholders abroad to ensure compliance with foreign entity regulations.(working experience in dealing with UAE, Singapore, China, Cayman, Seychelle, BVI entities) - Oversee all compliance related to foreign investments and partnerships. 4. IPO Coordination: - Assist in the preparation and submission of documentation related to Indian IPOs. - Collaborate with cross-functional teams to ensure compliance with regulatory requirements throughout the IPO process. 5. Advisory Role: - Provide guidance to the management on corporate governance, compliance, and regulatory matters. - Stay updated on changes in relevant laws and regulations to ensure ongoing compliance. Qualifications : - Education: - Company Secretary (CS) qualification. - Additional qualifications in law or finance will be an advantage. - Experience: - 6-9 years of experience in a similar role, with a strong emphasis on compliance and corporate governance. - Proven expertise in handling the specific compliance tasks outlined above. Skills : - Strong analytical and problem-solving skills. - Excellent written and verbal communication abilities. - Proficiency in using MS Office and compliance management software. - Strong organizational and time management skills with the ability to manage multiple deadlines.
