Job Summary

This role is responsible for overseeing the organization's corporate governance, ensuring compliance with all applicable laws and regulations. The ideal candidate will have a strong background in corporate law, excellent communication skills, and the ability to work effectively with senior management and external stakeholders.

Key Responsibilities
  • Corporate Governance:
    • Ensure that the company complies with all relevant laws and regulations, including the Companies Act 2013, RBI regulations, and SEBI guidelines.
    • Develop and implement policies and procedures for corporate governance, risk management, and internal controls.
    • Maintain accurate records of all regulatory filings, minutes of meetings, and other relevant documents.
  • Compliance:
    • Monitor and ensure compliance with all regulatory requirements, including annual returns, PF and other retiral Trusts, CSR and POSH Committees.
    • Vet legal documents, agreements, and contracts for compliance with regulatory requirements.
    • E-file RBI various forms and maintain accurate records of all e-filings.
  • Communication:
    • Communicate with external professionals involved in corporate governance, such as auditors, and ensure timely submission of reports and documents.
    • Build and maintain relationships with shareholders, regulators, and other stakeholders.
    • Provide guidance and support to other functional members on corporate law and governance.
Requirements
  • C.S. Institute of Company Secretaries of India (ICSI) certification.
  • Strong knowledge of corporate law, regulatory requirements, and compliance procedures.
  • Excellent communication, interpersonal, and problem-solving skills.
  • Ability to work effectively in a team environment and manage multiple priorities.
  • Hands-on experience with current legislative developments and listed company perspective.
