Job Title: Corporate Governance Specialist

Role Description:

We are seeking an experienced Corporate Governance Specialist to join our team. The successful candidate will be responsible for ensuring effective corporate governance, statutory compliance, and secretarial support for our group entities.

Key Responsibilities:

  • Preparation and filing of ROC forms for private limited companies.
  • Preparation and filing of LLP forms.
  • Maintaining statutory registers, minutes, and records.
  • Drafting board resolutions, notices, and minutes of board and general meetings.
  • Handling annual filings and event-based filings with regulatory bodies.

Corporate Governance and SHA Compliance:

  • Ensuring that all corporate actions are consistent with the provisions of the Shareholders Agreement (SHA).
  • Reserved matters requiring board or shareholder approvals.
  • Pre-emptive rights, transfer restrictions, tag-along/drag-along rights.
  • Investor reporting requirements.
  • Compliance with agreed governance structures.
  • Advising management on compliance requirements under relevant laws and regulations.

Legal and Regulatory Support:

  • Drafting and vetting of agreements, MOUs, and other legal documents.
  • Liaising with regulatory bodies and external consultants/auditors.

Finance and Compliance Support:

  • Supporting the CFO/accounts team in filing returns.
  • Assisting in structuring new entities and drafting related documentation.

Requirements:

  • Qualified company secretary with 3-4 years of post-qualification experience.
  • Hands-on experience in LLP and private limited company compliances.
  • Working knowledge of shareholders agreements and related compliance.
  • Strong knowledge of Companies Act, LLP Act, and FEMA provisions.
  • Good drafting, communication, and documentation skills.
