Corporate Governance Specialist.

Job Summary

We are seeking a seasoned Corporate Governance Specialist with strong expertise in capital markets, regulatory compliance, and company secretarial practices to join our organization.

This is a unique opportunity for a highly motivated professional to take on a challenging role that requires exceptional knowledge of corporate laws, SEBI regulations, and listing obligations.

Key Responsibilities:
  • Ensure adherence to Companies Act, corporate governance principles, and other regulatory requirements.
  • Handle IPO/Rights Issue/Preferential Allotment and Listing-related documentation and coordination.
  • Assist in Due Diligence, drafting offer documents, and liaising with regulators, stock exchanges, NSDL/CDSL, etc.
  • Manage filings under SEBI (LODR), Takeover Code, Insider Trading Regulations, and other capital market requirements.
  • Liaise with legal counsel and merchant banking teams for transaction execution.
Required Skills and Qualifications

The ideal candidate should possess comprehensive knowledge of SEBI regulations, corporate laws, and compliance requirements related to capital markets. Strong analytical and communication skills are essential for this role.

A Bachelor's degree in Law or a related field is required, along with a minimum of 3-4 years of experience in Merchant Banking or Capital Markets. Proficiency in MS Office and ability to work in a fast-paced environment are desirable.

Additionally, the candidate should have excellent organizational and time management skills, with the ability to prioritize multiple tasks and meet deadlines.
