Job Description

The Legal Specialist will be responsible for reviewing and negotiating IT contracts globally, with a focus on customer-facing agreements. The role involves working closely with procurement, business, and delivery functions to coordinate transaction closures.

Key responsibilities include reviewing procurement side contracts, negotiating Master Services Agreements, SOWs, Partner Agreements, Reseller Agreements, Teaming Agreements, Rainmaker Agreements, and preparing monthly reports on transactions received.

  • Independently review and negotiate IT contracts pertaining to Americas (US, Canada, LATAM)
  • Review procurement side contracts, mostly, but may have exposure to customer side contracts as well
  • Work on contracts with customers, subcontractors, vendors & alliance partners based globally
Required Skills and Qualifications

The ideal candidate will possess the following skills:

  • Identifying contractual, commercial, and operational risks and exposures in contracts;
  • Providing inputs/mark-up on contracts to negate contractual, commercial, and operational risks and exposures;
  • Working with internal and external clients to structure, prepare, negotiate, and finalize agreements, letters of intent, commercial proposals, etc.;
  • Major experience in Contract Negotiation required
  • Review and negotiate customer agreements
  • Providing legal support for ongoing contract management related activities;
  • Working in close coordination with external legal counsel;
  • Participating in discussions with internal stakeholders, external counsels, and advisors during the entire contracting process;
  • Managing and giving guidance to junior lawyers;
  • Experience in negotiating IT outsourcing contracts and other types of IT contracts with customers.
