
Corporate Governance Specialist

Seeking an experienced corporate governance professional to lead our compliance efforts.
Key Responsibilities:- Ensure strict adherence to regulatory requirements in the manufacturing sector.
- Regularly update senior management on evolving regulatory changes, ensuring timely compliance.
- Organize and manage Board Meetings, Annual General Meetings (AGMs), and Committee Meetings effectively.
- Draft agendas, minutes, and resolutions according to corporate governance standards.
- Maintain accurate and up-to-date statutory records, registers, and filings as per Companies Act, ROC, MCA, and SEBI guidelines.
- Act as key liaison between the organization and regulatory authorities, auditors, legal advisors, and stakeholders for smooth operations.
- Provide expert advice to senior management on contracts, agreements, and corporate governance matters.
- Assist in managing litigation, drafting, and reviewing contracts, memorandums, and agreements.
- E nsure timely and accurate filings of returns, disclosures, and statutory reports under Companies Act and applicable laws.
- Enhance corporate governance structures, practices, and policies to minimize risks.
- Contribute to risk management strategies, corporate compliance, and internal controls.
- Coordinate and manage all legal and regulatory aspects of IPO process efficiently.
- Collaborate with senior management, investment bankers, and legal teams for successful IPO launch.
- Ensure necessary filings, documentation, and compliance with SEBI, ROC, and regulatory bodies for IPO execution.
- Advise senior management on the regulatory impact of business decisions and strategies effectively.
- Fully qualified Company Secretary (CS) with ICSI membership is essential.
- 5+ years of CS experience in a manufacturing company is required.
- Strong knowledge of Companies Act, SEBI guidelines, FEMA, and corporate laws is necessary.
- Experience in handling corporate governance, compliance, and regulatory matters is preferred.
- Law degree (LLB) is an added advantage.
- Excellent communication, drafting, and negotiation skills are essential.
- Able to work independently and collaborate with multiple stakeholders effectively.
